Terms of Sale (AGB)

Users should read the following general terms and conditions of sale carefully before consulting or using this website.

By submitting your order, you automatically approve these terms & conditions where you are labelled as a customer that enters a binding agreement.

1.1. These general terms and conditions of sale (“General Terms”) describe the terms on which "Cotiere", a sole proprietorship owned by Marcel Porcher under the laws of Germany, with registered office at Schlesische Str. 14, 10997 Berlin, Germany, and with VAT number DE344920245 (“COTIERE”, “we”, “us”, “our”), sells, and a consumer (“you”) purchases, COTIERE products (“Products”) through the website www.cotiereofficial.com (“Website”), via e-mail, or over the phone. This encompasses orders made in both the Business-to-Consumer (B2C) and Business-to-Business (B2B) sectors.

1.2. These General Terms will apply to any contract for the sale of Products by COTIERE to you through the Website (“Contract”) or order placed via e-mail. This includes B2C and B2B orders.

1.3. 1.3. The sale of Products under these General Terms is available to consumers, meaning natural persons who act for purposes of personal consumption (i.e. for purposes extraneous to their trade, business, craft, and profession and not for profit), who have reached the age of majority and have full legal capacity to enter into a Contract, in their country. Additionally, these terms extend to Business-to-Business (B2B) sales for corporate entities, provided such entities comply with the relevant legal requirements for business transactions (i.e. B2B or B2C orders that have been placed via e-mail).

1.4. You will be asked to agree to these General Terms and to the Terms of Use of the Website (“ToU”) before placing an order. We therefore advise you to read these documents carefully, and in particular these General Terms, before proceeding with any purchase, and save or print a copy for future reference. If you do not agree to these General Terms, the ToU, and our Privacy Policy, you will not be able to order any Products from the Website.

1.5. We reserve the right to amend or update all or part of these General Terms from time to time, without notice. Any amendments or updates we make to these General Terms will apply to any future orders you place with us when ordering Products. We will always post the most current version of these General Terms on the Website and display the ”Last Updated” date to reflect the date of the changes.

1.6. These General Terms should be read alongside, and are in addition to, our Privacy Policy at www.cotiereofficial.com/pages/privacy-policy which tells you how we use your personal data, and our Cookie Policy at www.cotiereofficial.com/pages/privacy-policy

1.7 To safeguard the interests and rights of Cotiere as well as the customers, it is established that all orders, both in the Business-to-Consumer (B2C) and Business-to-Business (B2B) sectors, remain in the possession of Cotiere until fully paid for. This includes cases where Cotiere ships the goods in advance. Ownership of the goods transfers only upon complete payment by the customer. This provision is designed to protect the interests of both parties and ensure smooth transaction processing. Any merchandise unable to be paid for must be promptly returned to Cotiere. The return address can be obtained via email or telephone.

 

2.1. Information on our Products (along with the corresponding Product codes) and relevant prices are available on the Website.

2.2. The Products available on the Website are usually exclusively available online through the Website. Also, some Products may not be shipped to your country.

2.3. Pictures of the Products displayed on the Website are for illustrative purposes only. Although we have made every effort to display the Products accurately, we cannot guarantee that a device’s display of our Products accurately reflects them. In particular, the colors, fabric, shade, grain, texture of the Products shown on your screen may vary from those on the actual Product. Therefore, you should rely exclusively on the description of the Products and their characteristics as mentioned on the Website.

2.4. We reserve the right, in our sole discretion, to limit the quantities and/or types of any Products available on the Website per person, household or per order. These restrictions may include orders placed by or under the same account, the same payment method and/or orders that use the same billing and/or shipping address. You cannot purchase more than two (2) identical Products per order. The maximum number of items per order is ten (10).

2.5. We may change or discontinue a Product or any of its features, as described on the Website, at any time without notice (this does not affect orders already placed at the time of the change). During the purchasing process, we will inform you if your order cannot be processed due to the unavailability of the ordered Products.

2.6. In the event your connection to the Website fails, your selection of Products may be lost. In such case you will be required to re-enter your selection. Please note that Products in your shopping cart are not reserved and may be purchased by other customers. In no event, shall we be liable to you for the unavailability of a Product following a failure or loss of your connection to the Website. 

 

3.1 Definition: Regular Stock products are our regular items that are available in stock and not discounted or on sale. These items will usually get shipped a few days after purchasing them in our shop. You will recognise regular stock products by a "ADD TO CART" or "BUY" button. It is not a "Regular Stock Product" if it is discounted or marked as a "Pre-Order Product". Please read more about "Pre-Order Products" and "Discounted Products" in sections 11.2 and 11.3. 

3.2 COTIERE has a 14-day return policy for regular stock items: 

You have the right to withdraw from the Contract of regular stock produts if you change your mind or for any other reason within thirty (14) days from the date on which you (or the person designated by you) take physical possession of the Products. Please read section 11. for further informations.

 

 

4.1 "Pre-Order-Products" will be marked due to a "Pre-Order"- purchase button instead of a "BUY" button. "Pre-Order-Products" will also be recognisable due to the following additional information in the product description 

-"This is a Preorder-Product"
-"This product is out of stock.",
-"This product is sold out but avaible to pre-oirder."-
"We will fulfill the order as soon this product becomes available.

"Pre-Order Products are also marked with "Pre-Ordered Item: 1"  in the Checkout process. The phase of how long a product is available to pre-order will be communicated in the description or on the website.

4.2   By purchasing a "Pre-Order Product", you agree to purchase the item in advance

4.3 You can cancel your pre-order at any time before the in-advance communicated "Pre-Order-Period" will be closed. Please write us an email to our customer support. After that, cancellation is not possible since this product is specially made for you. You will find the "Pre-Order-Period" in each product description.

4.4 COTIERE has a 14-day return policy: you have 14 days from when your order is delivered to ship/postmark it back to our return centre (mentioned below). You can either exchange it for a bigger or smaller size or get a refund in form of a store credit (i.e. as gift card) for the online shop at www.cotiereofficial.com but Pre-Order Products can not be returned and refunded as our regular stock items since its specially made for you. 

4.5 You can return the item in case there are any defects or manufacturing mistakes. You will be fully refunded.

4.6 If there are not enough pre-orders for a certain product, you will be refunded shortly after the pre-order period ended.

5.1 "Discounted products", "On Sale Products" or "Products on Sale" will be marked due to discounted price tags and /or with additional text like: 

- "On sale"
- "Discounted product"
- "Non-refundable product"

5.2 Any items on sale (or discounted products) are usually excluded from the 14 days return and cancellation policy unless the product description says anything different. 


5.3 Discounted products may be refused to accept if returned to us and returned to the sender if sent. Please read the product description of each product carefully.  

6.1. Prices of Products are indicated on the Website in Euro and are inclusive VAT but not of all applicable taxes and charges depending on the delivery country. Prices do not include delivery charges, which, if any, shall be added to the price of the Products and will be communicated to you during the checkout process before you confirm your order. 

For delivery of the Products to customers located to EU countries, VAT will be charged as per applicable law at the time of the sale. 

For countries outside of the European Union:

NOTE: We may not yet deliver to countries outside the EU.

You are fully responsible and liable to pay all applicable import tax and customs duties as importer of record to the relevant authorities as determined by the authorities of the delivery destination country, and we shall have no responsibility or liability in connection with the foregoing.

6.2. We make all reasonable efforts to ensure that all prices for the Products displayed on the Website are correct. Occasionally, however, an error may occur, and Products may be mispriced (incorrect price or typographical error in the price shown). In this case we will, at our discretion, (i) cancel the order or terminate the Contract (depending on when the error is detected) and notify you of such cancellation or termination, or (ii) contact you and ask you whether you wish to purchase the Product at the correct price. 

6.3. We reserve the right to change the Products prices at any time and without notice, but such changes will not apply to Products for which you have received an Order Acceptance.

 

7.1. The information about the Products and their prices that is displayed on the Website does not represent an offer by us.

7.2. To purchase Products on the Website, you must follow the instructions provided by the online purchase process: (i) include the selected Products (subject to the restrictions set forth in Section 2.4) in the shopping cart, (ii) fill in the order form with your personal information (name, address, email, telephone, shipping/billing address), (iii) select your payment method, (iv) accept these General Terms, (v) accept the ToU and (vi) place your order through the Website (following the relevant instructions on screen). Please be advised that certain products may not be son stock and can only be pre-ordered. Pre-Order Products will be shipped as soon it becomes available. 

7.3. Before submitting your order, you will be given the opportunity to review your selection, check the total price and correct any errors.

7.4. Your order constitutes an offer to purchase from us the selected Products, under these General Terms. By placing an order, you agree to pay the price of the ordered Products.

7.5. All orders submitted by you are subject to our acceptance. Once you place your order, we will acknowledge it by email (“ Order Confirmation”). This Order Confirmation does not, however, mean that your order has been accepted. We may choose not to accept your order, in whole or in part, without liability to you. Examples of non-acceptance of your orders are as follows:

(i) The Products are not available; or

(ii) You do not comply with the eligibility conditions set out in Section 1.3; or

(iii) You have ordered too many Products (see Section 2.4); or

(iv) We are unable to obtain authorization for your payment; or

(v) There is an error in the price displayed; or

(vi) Reported or suspected, fraudulent, illegal or unauthorized activities, including suspected purchases for commercial purposes; or

(vii) The delivery address provided by you is not a valid address; or

(viii) You have not fulfilled your obligations deriving from a prior contract entered into with us.

7.6. The Contract between us and you will only be formed when you receive from us an email notification confirming shipment of your order (" Order Acceptance"). The Order Acceptance (or rejection) shall be sent to the email address provided by you in the order. The details of your accepted orders are available under “My Account - My Order” section of the Website.

7.7. In case of unavailability of one or more ordered Products, we will contact you and inform you of such unavailability. The order will be partially cancelled and you shall pay only the price of the available Product(s).  Pre-Order Products will be recognisable in the checkout process and description. 

7.8. The Order Confirmation/Acceptance will include notably the order number, basic information on the purchased Products, confirmation of the price and the shipping address.

7.9. Once you receive the Order Acceptance you can no longer cancel or modify your order unless otherwise provided in these General Terms. Dispatched Products can usually still be returned, exchanged or at least refunded in form of store credit (i.e. gift card) as set out in Article 8 below.

7.10. From time to time we may invite you to pre-order certain selected Products on the Website before they are available to purchase from the stores or the Website (“Pre-Order Products”). The thirty (30) days delivery term set out in Section­ 6.4 will not apply to Pre-Order Products. An estimated delivery date for the Pre-Order Products will be communicated to you when we confirm your order.

For further information about Pre-Order-Products please read section 4 and 11.

8.1. You must pay the price of the Products (including applicable VAT, sales taxes or other taxes), the cost of any additional services you order (e.g. additional costs for personalized Products), if applicable, and the associated delivery charges, if any.

8.2. We accept payments made in the currency specified for the country of the shipping destination with the payment methods proposed to you before you confirm your order.

8.3. We will not debit the amount of your order until:

(i) we have confirmed availability of the Products;

(ii) we have sent you the Order Acceptance;

(iii) we have received authorization to debit your card from the card issuer or your PayPal account, if applicable;

(iv) your debit/credit card data or your Paypal account, if applicable, has been verified.

8.4. If your payment cannot be processed for any reason, we will cancel your order and our Contract with you will end immediately, without liability to you. We will inform you of this in writing.

8.5. You are responsible for the relevant charges or fees, if any, applied by your card issuer, bank or other payment institution as a result of our processing of your payment.

8.6. For each order, we will issue an electronic invoice for the purchased Products, and you agree to such form of invoicing. The e-invoice will be established based upon the information provided by you at the time of submitting the order. No alterations to the e-invoice are possible once the e-invoice has been issued.

8.7. Please note that for Pre-Order Products, payment may vary. There might be the following options.

Option 1: You have to pay just a percentage at the time of the reservation of the Pre-Order Product and then the rest when the Pre-Order Product is available and ready to be shipped.

Option 2: You have to pay the full price at the time of the reservation of the Pre-Order Product.

The pre-order payment option will be described in the product description and is mandatory to accept once you placed an order / pre-order. 

8.8. Retention Right Disclaimer: Please be advised that, in accordance with Cotiere's retention of title clause, ownership of all goods ordered from Cotiere — whether through our online shop, via email, or over the phone, irrespective of the customer's sector (Business-to-Consumer [B2C] or Business-to-Business [B2B]) — shall not pass from Cotiere to the customer until the purchase price has been paid in full. This condition applies even in instances where Cotiere has agreed to ship the goods prior to receiving full payment. Consequently, until such time as full payment is received by Cotiere, the customer acknowledges that they obtain only physical possession of the goods, without acquisition of ownership rights. Should the customer fail to make complete payment, they are obliged to return the goods to Cotiere promptly upon request. Instructions for the return of goods, including the return address, will be provided by Cotiere upon such occurrence through direct communication, either via email or telephone. This disclaimer is intended to delineate the boundaries of ownership and possession clearly, ensuring all parties are aware that the transfer of ownership from Cotiere is contingent upon the complete settlement of the owed payment, regardless of the ordering method.

 

9.1. The purchased Products will be delivered exclusively in Germany.

9.2. The purchased Products shall be delivered by a courier service selected by us (“Courier”). Products shall be delivered either to the address indicated by you in the order form. We are not responsible for any delivery problems arising from incomplete or incorrect address details supplied by you. Please note that we will not deliver to PO Boxes, address of freight forwarders, or hotels.

9.3. The purchased Products will be shipped out only after we receive your payment in full. If we do not receive your payment in full, whatever the reason, we can delay or refuse to dispatch the Products without liability to you.

9.4. We will take all reasonable steps to deliver the purchased Products.If the delivery has not occurred within thirty (30) days of the Order Acceptance, you will be entitled to specify a date for delivery and, if this cannot be met, you may cancel the Contract and we shall refund you all sums paid under the Contract within fourteen (14) days from the date you cancel the Contract. Pre-Order Products are excluded from this refund since the delivery can take longer then 30 days.

9.5. Upon delivery of the Products by the Courier, you (or the person designated by you) are required to:

(i) verify that the number of packages delivered corresponds to that indicated on the delivery note;

(ii) verify that the packages and their seals are intact, undamaged, not wet or altered in any manner;

(iii) sign the delivery note; and

(iv) if requested by the Courier, show your ID.

Any damages to the packages and/or the Products or discrepancies in the number of packages or documentation must be immediately mentioned in writing on the Courier’s delivery note. To the extent permitted under applicable laws, once you’ve signed the Courier’s delivery note, you may no longer make a claim with respect to damages to packages or discrepancies in the number of packages. We advise you to take photos of the package and product.

9.6. You can track the status of your shipment by clicking on the link which you received via email (included in the Order Acceptance).

 

10.1. The risk of loss of, damage to, and destruction of, the Products shall pass to you when you (or a person designated by you and other than the carrier) take physical possession of the Products at the delivery address given by you.

10.2. Title in the Products shall pass to you on the date on which the Products are delivered to your delivery address or collected at your Selected Store, as applicable.

 

11.1 REGULAR STOCK PRODUCTS

Definition: Regular Stock products are our regular items that are available in stock and not discounted or on sale. These items will usually get shipped a few days after purchasing them in our shop. You will recognise regular stock products by a "ADD TO CART" or "BUY" button. It is not a "Regular Stock Product" if it is discounted or marked as a "Pre-Order Product". Please read more about "Pre-Order Products" and "Discounted Products" in sections 11.2 and 11.3. 

11.1.1 COTIERE has a 14-day return policy for regular stock items: 

You have the right to withdraw from the Contract of regular stock products if you change your mind or for any other reason within thirty (14) days from the date on which you (or the person designated by you) take physical possession of the Products or, in case of multiple packages delivered for the same order, the last package delivered. Any claim regarding the delivery of Product(s) must be submitted in 14 working days following receipt of the Product(s). 

If you wish to return a product, please fill out the return form and place it together with your original order sheet (invoice) and your product into the product box. Make sure the returning product is unworn, undamaged and in original condition (packaging, accessories, tags etc.) and matches the criteria mentioned in section 11.4.3

11.2  PRE-ORDER-PRODUCTS 

Definition: "Pre-Order-Products" will be marked due to a "Pre-Order"- purchase button instead of a "BUY" button. "Pre-Order-Products" will also be recognisable due to the following additional information in the product description 

-"This is a Preorder-Product"
-"This product is out of stock.",
-"This product is sold out but available to pre-order."-

11.2.1 COTIERE has a 14-day return policy for pre-order products: you have 14 days from when your order is delivered to ship/postmark it back to our return centre (mentioned below). 11.2.2 Pre-Order Products can be returned if they got damaged during delivery or have defects or mistakes in manufacturing. In that case, you will be fully refunded.  Please make sure to apply and complete the return through our Return Portal and document why or how it is or got damaged. You will be asked to upload a photo in the return portal and be fully refunded via your original payment method when it got approved.

11.2.3 If there are not enough pre-orders for a certain product, you will be refunded shortly after the pre-order period ended.

 

11.3 PRODUCTS ON SALE / DISCOUNTED PRODUCTS / PRODUCTS ON SALE /NON-RETURNABLE PRODUCTS

Definition: Any items on sale (or discounted products) are usually excluded from the 14 days return and cancellation policy unless the product description says anything different. These items may be refused to accept and returned to the sender if sent. Please read the product description of each product carefully.  

11.3.1 The right of withdrawal does not apply to Products that has been discounted or "on-sale" or were marked as "non-returnable Product" in the Product description. This includes orders for personalized Products and for any other Product that you were informed at the time of submitting your order that it could not be returned (in accordance with applicable law) (“Non-returnable Products”). 

11.4 RETURN A PRODUCT / EXERCISE YOUR RIGHT OF WITHDRAWAL

Please also read section 11 if your purchased product is applicable for a return and refund.

11.4.1 To exercise your right of withdrawal, you must inform us of your decision to exercise your right of withdrawal /to cancel the Contract within 14 days by:

(i) starting and completing an online return form via our Return Portal

or

(ii) writing us a letter or e-mail to one of the addresses mentioned below including the following information: (I) indication of the Products for which you wish to exercise your right of withdrawal/right to cancel; and (II) the order number,

to the following recipient’s address or email:

11.4.2 You must return the purchased Products within fourteen (14) days from the date you notified us of your decision to exercise your right of withdrawal/right to cancel, in accordance with Section 11. and our other Terms of Sale sections.

11.4.3 In order for the customer service to accept the return, the Product(s) must match the following criteria: 

!IMPORTANT! 

- All items must be unworn, clean and undamaged in their original condition, with all original tags and packaging intact, to be eligible for return.
-The product shall be returned without having been tampered with or damaged.
- The product must be complete with the original sales invoice and return form. 
- Also, please return the package together with a dispatch number, so we will be able to trace it.
- All products that come in their own box, including but not limited to shoes and accessories, must be returned in their original, undamaged box as this is considered part of the product. Please make sure to return tall products that come in their own box inside another solid carton box to not damage the original packaging.
- Please note that, until the product reaches us, you are responsible for it.
- COTIERE reserves the right to reject any returned items that do not meet the above requirements.
- Any parcel returned after the prescribed timeframe shall be refused and returned to the sender. No parcel returned as cash on delivery shipping shall be accepted, whatever the reason. The costs and risks pertaining to the return of Product(s) are borne by the sender.
- The Customer shall not have to justify the reasons or pay penalties, with the exception of return costs and all potential customs duties.
- COTIERE cannot be held responsible in the event of loss, theft or damage of the parcel. Parcels for which the Customer’s identification (surname, first name, address and return code) is not possible shall be refused.
- On receipt of the Product(s) returned by the Customer, the customer service shall send a confirmation of receipt of the Product by e-mail.
 
Note: Pre-order Products and products that are on sale (discounted products) may be excluded from the 14 days return and cancellation policy. These items may be refused and returned to the sender if sent. Please read section 1 above and always make sure to read the product description of each product carefully.

11.4.4 If a returned Product does not meet the conditions for its return, as listed in Section 11.4.3 above, we will send back such Product to you to the address you indicated in the return form, or if such address is not valid, to the address communicated by you when you placed the order. This return will occur within fourteen (14) days from the date we informed you of the rejection of the returned Products, unless a force majeure event, an event beyond our reasonable control or any unforeseeable circumstance occurs.

11.4.5 We will refund you all amounts paid by you, excluded the delivery charges, if any, (except that, with respect to the delivery charges, the maximum refund, if any, will be the costs of delivery by the least expensive delivery method we offer), within fourteen (14) days from the date we received back from you the Products, or you have provided evidence that you have returned them, whichever is the earliest. We will refund you using the same payment method that you used when you placed your initial order. If you paid cash on delivery of the Products ordered, if available, cash refunds are not available, and your refund will only be released by wire transfer to the account communicated by you.

11.4.6 If return in store is available, you can also return the Products purchased through the Website to any of our stores located in Europe within the timeframe indicated in Section 11 above.

11.4.7 The provisions of Sections 11. will apply in addition to our Return Policy at www.cotiereofficial.com

9.1 Should you be interested in a different size, colour or style, please return your item/s via our return portal and place a separate new order. This will speed up the exchange process. You will be refunded for the returned item in the same way you paid.Please read our "Return Policy" in section 8 for further information.

Note: Please be advised that we can't offer any exchanges if the item is sold out or out of stock.

9.2. Any fees or charges, or other costs whatsoever, incurred as a result of your exercising your right of exchange in accordance with this Article 9, shall be borne by you unless the Products are faulty or defective.

 

13.1. If you find that a Product sold by us on the Website has defects, is not as described or is incomplete, please contact immediately our Client Services by sending an email to customerservice@cotiereofficial.com

13.2. We provide a warranty for any lack of conformity to the Contract of the Products we have sold to you on the Website, under the conditions set forth in the German Civil Code.

Under the statutory conformity warranty in case of non-conformity, you have a period of two (2) years starting from the date of delivery of the Product to file a claim. You may choose between repair or replacement of the Product, subject to the costs of repair or replacement being proportionate. You are exempt from proving the existence of the Product’s lack of conformity with the Contract for a period of twenty-four (24) months following the Product’s delivery. However, if we prove that the Product was in conformity with the Contract, your claim will not be accepted. This warranty is provided in addition to the commercial warranty, if applicable, and the warranty against hidden defects. You may bring a claim within two (2) years following the discovery of the hidden defect. In such case you can choose between the cancellation of the Contract or a reduction of the Product’s price.

 

13.3. Damage, alteration or modification to the Products caused by you is not a defect or a lack of conformity. For example, without limitations, any damage caused by extensive use or wear; improper use (such as direct exposure to the sun light or heat, contact with liquid, rain or food); normal tear and wear; non-observance of applicable care and/or cleaning instructions, are not defects or a lack of conformity. Likewise, variations in the texture, natural markings or irregularities of natural Products (such as leather or fabric) are inherent to the Product and not defects.

13.4. In the event your request the repair, replacement or return of a Product due to defect or due to the Product not being as described or being incomplete pursuant to this Article 10, we can not bear the delivery costs for returning the Products to be repaired, replaced or returned, as well as any costs to deliver back to you the repaired or replaced Products.

 

14.1. Nothing in these General Terms seeks to exclude or limit our liability for:

- fraud or fraudulent misrepresentation;

- breach of any obligations implied by applicable consumer protection laws; or

- any other cause of action which cannot be limited or excluded under applicable law.

14.2. Subject to the above, our aggregate liability which shall be limited solely to direct damages, caused by our breach, that you suffer in respect of all claims and causes of action, arising under or in connection with these General Terms and each Contract, shall in no event exceed the price of the Product(s) purchased by you on the Website under that Contract. We are not liable for damage or loss that either you or we could not reasonably have foreseen at the time you accepted these General Terms. We shall not be liable to you for any indirect damages.

14.3. We are not responsible for any delay or failure to perform any of our obligations under these General Terms if the delay or failure is caused by a force majeure event or arises from any cause which is beyond our reasonable control.

 

14.4 Cotiere or Marcel Porcher can not be held accountable for any personal injury or death resulting from our negligence, from wearing, or purchasing our products.

 

15.1. We guarantee the authenticity of all Products purchased on our Website.

15.2. Cotiere reserves all such rights.

 

16.1. We may offer you promotions and special offers from time to time. The terms of such promotions and special offers will be specified on the Website (e.g. start and end date of the promotions and offers; minimum order value, if any). Promotions and offers cannot be used in conjunction with any other promotion or offer. To receive the discount or offer applied, you must place your order within the specified date range.
